1. Acceptance of Terms

(“AI Didact Pro,” “we,” “our,” or “us”). By using our Services, you agree to comply with and be legally bound by these Terms.

* Business workflow optimization

* Chatbot implementation

* SMS & email automation messaging systems

* CRM setup and training

* Scheduling and dispatch automation

* Lead and operations management systems

Services may include third-party platforms for communication, billing, analytics, and automation workflows. Some service features may vary based on selected plans.

3. Client Responsibilities

Clients using our Services agree to:

* Provide accurate business information

* Maintain lawful business practices

* Obtain consent from their customers before sending SMS/email communications via our platform

* Ensure their data does not violate privacy regulations or contain prohibited materials

You are responsible for all SMS, email, leads, data, and content sent through your account.

4. Payment & Billing

* Payment terms are defined in your service agreement or invoice.

* All payments are non-refundable unless specified in writing.

* Service access may be suspended for late payments.

* Subscription or monthly automation hosting fees renew automatically unless canceled.

5. Data Ownership & Usage

* Client data, including leads, business contacts, workflow processes, and uploaded files, belongs to the client.

* AI Didact Pro only processes data for the purpose of providing services.

* We do not sell or share client data for advertising.

Clients are responsible for maintaining legal compliance regarding data collected through their own systems.

6. SMS, Email, and AI Usage Requirements

Use of our communication systems must comply with:

* A2P 10DLC regulations

* TCPA & CAN-SPAM Act

* FCC texting and robocall rules

* Applicable state & federal privacy laws

Clients must not use our systems for:

* Spam, scams, harassment, or unsolicited messaging

* Sending without proper consent

* Illegal or deceptive business activity

Violations may result in termination and reporting to carriers.

7. Service Limitations & Disclaimer

AI Didact Pro does not guarantee:

* Increased revenue

* Customer acquisition

* Business outcomes or operational success

We provide tools and automation systems that support your business operations but do not operate your business for you.

Services may occasionally experience interruptions due to:

* Internet disruptions

* Carrier restrictions

* Third-party platform outages

8. Intellectual Property

All platform designs, workflows, templates, branding, and content developed by AI Didact Pro remain our intellectual property unless specifically transferred in writing.

Clients may not copy, resell, or distribute our systems without permission.

9. Termination

We reserve the right to suspend or terminate service access if:

* Billing is not current

* Illegal or abusive system usage occurs

* SMS/email violations are detected

* Terms are violated

Clients may request cancellation with written notice. Remaining balances may still apply depending on contract terms.

10. Liability Limitation

AI Didact Pro is not liable for:

* Lost profits

* Business interruptions

* Data loss caused by third-party tools

* Carrier fees related to messaging violations

Maximum liability is limited to the total amount paid by the client in the previous 60 days.

11. Governing Law

These Terms are governed by the laws of the State of Ohio, USA. Any disputes must be resolved in a court of competent jurisdiction located in Ohio.
